Terms of Service

1. About Us
Simpler Growth ("we," "us," or "our") is a digital marketing agency registered in India and operating at simplergrowth.com. We provide digital marketing services to businesses primarily located in the United States and other international markets. All services are delivered remotely.
By accessing our website or engaging our services, you ("Client" or "you") agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Services Offered
Simpler Growth provides the following digital marketing services to businesses:
• Search Engine Optimization (SEO) – on-page, off-page, and technical SEO strategies to improve organic search visibility
• Google Ads & Paid Search Management – creation, management, and optimization of pay-per-click advertising campaigns
• Social Media Marketing & Management – content strategy, posting, and paid social campaigns across platforms including Facebook, Instagram, and LinkedIn
• Content Marketing – blog writing, copywriting, and content strategy tailored to your target audience
• Email Marketing – campaign design, list management, automation setup, and performance reporting
• Website Performance & Conversion Optimization – analysis and recommendations to improve lead generation and sales
• Monthly Analytics & Reporting – detailed performance reports delivered regularly
The specific scope of services for each Client is defined in a separate Proposal or Service Agreement provided before commencement of work.
3. Engagement & Payment Terms
3.1 Proposals & Agreements: All engagements begin with a written proposal outlining the scope of work, deliverables, timelines, and fees. Work commences only after written acceptance of the proposal and receipt of the initial payment.
3.2 Currency: All fees are quoted and invoiced in United States Dollars (USD) unless otherwise agreed in writing.
3.3 Payment Schedule: Payment terms are specified in each proposal. Unless stated otherwise:
• Retainer-based engagements are billed monthly in advance
• Project-based engagements may require a deposit of 50% upfront with the balance due upon completion or at milestones defined in the proposal
• Setup fees, onboarding fees, or one-time charges are due in full before work begins
3.4 Late Payments: Invoices unpaid after 7 days of the due date may result in a pause of active work. We reserve the right to charge a late fee of 1.5% per month on overdue balances.
3.5 Third-Party Ad Spend: Ad spend on platforms such as Google Ads, Meta, or LinkedIn is separate from our management fees. Clients are responsible for funding their own ad accounts directly with the platform.
4. Disclaimer of Results
Digital marketing involves inherent uncertainties. Simpler Growth does not guarantee specific outcomes including but not limited to: search engine rankings, website traffic levels, lead volumes, conversion rates, return on ad spend (ROAS), or revenue growth.
We apply industry best practices and our professional expertise to achieve the best possible results for each Client. However, results depend on factors beyond our control including platform algorithm changes, competitive landscape, client website quality, and market conditions.
5. Client Responsibilities
To enable effective delivery of services, the Client agrees to:
• Provide timely access to required accounts, platforms, brand assets, and information
• Respond to communications and approval requests within 3 business days
• Ensure all content, assets, and information provided to us are accurate and do not infringe any third-party rights
• Maintain active and funded ad accounts where applicable
6. Intellectual Property
6.1 Client-Owned Assets: Any content, logos, trademarks, or materials provided by the Client remain the property of the Client.
6.2 Deliverables: Upon receipt of full payment for a project or engagement period, all deliverables created specifically for the Client (including ad copy, content, and reports) are assigned to the Client.
6.3 Our Tools & Processes: Simpler Growth retains ownership of all proprietary tools, templates, methodologies, and processes used in delivering services. These are not transferred to the Client.
7. Confidentiality
Both parties agree to keep confidential any proprietary, business, or technical information disclosed during the engagement. This obligation survives termination of the engagement for a period of two (2) years.
8. Termination
8.1 By Client: You may terminate ongoing services with 30 days' written notice. Fees due for work completed or in progress up to the termination date remain payable.
8.2 By Simpler Growth: We may terminate services with 14 days' written notice if the Client breaches these Terms, fails to make payment, or engages in conduct that is unlawful or harmful to our business.
8.3 Immediate Termination: Either party may terminate immediately if the other party commits a material breach that is not remedied within 7 days of written notice.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Simpler Growth's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
In no event shall Simpler Growth be liable for indirect, incidental, special, or consequential damages, including loss of profits or business opportunities, even if advised of the possibility of such damages.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be New Delhi, India.
11. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
